1. Agreement
These Terms of Service (“Terms”) govern your purchase and use of the services offered by TrueUpReady (“we”, “us”), an independent Microsoft licensing advisory. By purchasing, you agree to these Terms on behalf of yourself and your organization, and you confirm you are authorized to do so.
2. The service
We provide an independent, ELP-style Microsoft licensing risk assessment based on output you generate with our toolkit. Depending on the tier purchased, deliverables may include an Executive ELP summary, SQL Server and Windows Server exposure analysis, an M365 user risk review, an exception register, and an advisory call. Specific inclusions are described on our website at the time of purchase.
3. Independent advisory — not affiliated with Microsoft
We are not affiliated with, authorized by, or endorsed by Microsoft. Our assessment is an advisory estimate intended to help you prepare. It is not a certified compliance determination. Your final, authoritative compliance position must be validated against the applicable Microsoft Product Terms, your specific agreement terms, and your contract-specific rights.
4. Fees & payment
Fees are stated on our website and are payable in advance via our payment provider, which acts as merchant of record. All prices are in US Dollars (USD) unless stated otherwise. Applicable sales tax / VAT is calculated and collected by the payment provider at checkout.
5. Refunds & value guarantee
If, after reviewing your provided output, we cannot identify at least one actionable licensing risk, saving opportunity, or data-quality gap, we will refund your assessment fee on request. Beyond this guarantee, fees for delivered work are otherwise non-refundable except where required by law.
6. Your responsibilities
- You are responsible for generating accurate output from your environment and for the completeness of the information you share with us.
- You confirm you have the authority to share that output for the purpose of this assessment.
- Our findings depend on the quality of the data provided; gaps or inaccuracies in your inputs will affect the result, which the exception register is designed to flag.
7. Confidentiality & NDA
We treat your information as confidential and use it only to deliver your assessment. A standard mutual non-disclosure agreement is available on request before any review begins. Our handling of personal data is described in our Security & Privacy page.
8. Intellectual property
The toolkit, report templates, and methodology remain our intellectual property. Your underlying data and the specific report we deliver to you are yours to use within your organization. You may not resell or redistribute our toolkit or templates without written permission.
9. Disclaimer of warranties
The assessment is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranty that the assessment will be error-free or that it constitutes a definitive compliance position. The figures provided are estimates for planning purposes.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or related to the service will not exceed the fees you paid for the assessment giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including any audit outcome, penalty, or true-up cost.
11. Data protection
Our collection and use of personal data is governed by our Security & Privacy page, which forms part of these Terms.
12. Governing law
These Terms are governed by the laws of the Hashemite Kingdom of Jordan, and any disputes will be subject to the exclusive jurisdiction of its courts.
